Contracts Manager

Position Summary:

The Contracts Manager will oversee the day to day management of the company's contracts department which handles life-cycle US Government, commercial, and international contract administration.


  • Reviews complex solicitations and prepares specialized and/or non-routine response for proposals, bids, and contract modifications.
  • Analyzes significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit procedure and communicates results.
  • Develops negotiation strategy and leads negotiation team on complex contractual issues.
  • Analyzes new law, regulation and contract trends for potential impact on business unit goals and objectives.
  • Provides authoritative guidance to internal business teams and contract subordinates on corporate goals and objectives relating to contract activity.
  • Focal point for all communication with law, finance and business team disciplines for resolution of contract issues and disputes.
  • Reviews and recommends responses to contract modification requests.
  • Settles disputes regarding contract interpretation, conditions or compliance with legal requirements.
  • Provides interpretation and ensures compliance with FAR and DFARS.
  • Assists in identification, development and implementation of new contract policies and processes.
  • Serves as primary business liaison with external client contracting officers and other contracting officials on contractual and business administrative matters.
  • Reviews and approves department templates for subcontracts, consultant/independent contractor agreements, teaming agreements, confidentiality agreements, representation/agent agreements, license agreements, and supplier/OEM agreements.
  • Ensures regulatory and contractual reporting requirements are met including small business subcontracting reports and federal, state and local agency reporting.
  • Coordinates and manages letters of credit based on contract requirements.
  • Reviews and executes third-party non-disclosure agreements (NDAs) and Proprietary Information Agreements (PIA’s).
  • Develops and enforces standard contract terms and conditions.
Supervises corporate export compliance program and prepares export license applications


  • Ability to educate and train less experienced contract, finance, business development, and operations professionals and to identify and develop contract skills in assigned function.  
  • Ability to draft moderate to complex, non-routine contractual instruments.  
  • Working to excellent knowledge of corporate policies and procedures, coupled with ability to identify required improvement to established policies and to communicate implementation procedures to others.  
  • Working to expert knowledge of contracting concepts, Uniform Commercial Code, applicable public contract acquisition law and regulations, and applicable international contract law.  
  • Experience with administering GSA contracts and schedules. 
  • Have a general understanding of the business case and an appreciation of financial/analytical issues and profit and loss implications. 
  • Strong to excellent analytical and communication skills.  
  • Good presentation, leadership and management skills.  
  • Use of independent judgment and creativity applied to resolution of contract issues.  Excellent internal and external negotiation skills. 


  • Contract subordinates, business unit management teams, senior project or product managers, customer/supplier law department, outside counsel, mid-to senior level corporate management.


  • Bachelor’s degree plus 8+ years business or related experience.


  • Certified Professional Contracts Manager (CPCM) desirable

Physical Requirements:

  • Position requires use of computer, telephones and other office equipment, reading, writing, standing, sitting, walking, repetitive motions, bending, climbing, listening and hearing ability and visual acuity.
  • Must be able to travel freely both foreign or domestic if business requires.
